How do I invest in Power Leaves?

You can easily invest in our offering online using our secure investment portal (DealMaker), where you can access the portal navigating to our offering listed at invest.powerleaves.com and taking the following steps:

  1. Navigate to invest.powerleaves.com and click the “Invest Now” button.
  2. Complete the investor registration questionnaire, including submitting the necessary information to verify your accreditation status and investment amount and process the payment. Please ensure the information is complete and accurate or this may delay the processing of your investment.
  3. Read and sign the Subscription Agreement,
  4. Fund your investment via the payment methods available
  5. Upload your accredited investor verification documents
  6. Click “Complete Your Investment”
  7. The Power Leaves team will review the information you provided, and once approved and the investment funds received, your investment will be confirmed.

Why am I required to verify my accredited status for a 506(c)?

For a Regulation D offering, following SEC Rule 506(c), all investors must be accredited. This generally means you have sufficient net worth or income to absorb potential losses to your investment.

To confirm accreditation status, you may upload personal documents, or seek one of these professionals to review your personal documents and complete this standard template letter:

  • CPA

  • Broker-Dealer

Accredited investor criteria for individual:

  • Has a net worth higher than $1,000,000 either individually or with your spouse, not including your primary residence
  • Has an annual income higher than $200,000 for individuals or $300,000 as joint income in the last 2 years and expect to earn more than that amount in this given year
  • Is an investment professional in good standing, who holds the general securities representative license (Series 7), the investment adviser representative license (Series 65), or the private securities offerings representative license (Series 82)

Accredited investor criteria for an entity:

  • An entity owning investments in excess of $5 million
  • An entity where all equity owners are accredited investors
  • The following entities with assets in excess of $5 million:
    • Trusts
    • corporations
    • partnerships
    • LLCs
    • 501(c)(3) organizations
    • employee benefit plans
    • “family office” and any “family client” of that office
  • Investment advisers (SEC- or state-registered or exempt reporting advisers) and SEC-registered broker-dealers
  • Financial entities, such as:

Our offering is open to both U.S. citizens and residents as well as select international investors, provided investors meet eligibility requirements.

What information do I need to provide?

To verify your eligibility to invest in this offering, including verifying your status as an accredited investor, you will need to provide information such as name, address, income, net-worth, and other similar information depending on investor type – you’ll find a detailed description of how to verify your eligibility during the investment process.

Do I need to be an accredited investor to invest?

Yes, the offering is only open to accredited investors.

What happens after I complete the online investment process?

After you complete your investment and your funds are received, your accreditation status will be confirmed by our compliance team.

Please note, ACH payments can take 5-8 days to process, and Wire transactions can take 2-3 business days to process. You will receive an email notification when your funds are received.

Once funds are received, it can take up to 1-2 weeks to process your investment completely.

In some instances, we may reach out to you requesting additional information to verify your identity & finish processing your investment, which may increase the overall processing time.

Once your investment has been fully processed and confirmed, you will receive an Investment Confirmation email with your Signed Subscription Agreement. You are officially an investor in Power Leaves only when you receive this email.

After 5-10 business days you do not receive an confirmation email with your Signed Subscription Agreement, please email at shares@powerleaves.com and we will get back to you as soon as we can. We may still require additional information from you to process your investment fully. We recommend you check your spam folder first for any email communications!

Where is Power Leaves operating?

Power Leaves’ primary facilities are located in Colombia, with its head offices in Canada. The company is initially targeting the $1 trillion dollar U.S. food & beverage market and the $200 billion global fertilizer market.

Is coca extract legal to handle?

Decocainized (cocaine-free) coca extract is a non-controlled substance in the United States, where it is the same ingredient found in Coca-Cola. Decocainized coca extract and its derivatives as well as decocainized coca fertilizer are the core products that Power Leaves is manufacturing and distributing.

Through Power Leaves’ exclusive, 15-year agreement with the Colombian Indigenous community, Power Leaves can obtain cocaine-free extract from its patent-pending decocainization process. Specifically, the Indigenous people handle the coca leaf cultivation and extraction process using Power Leaves’ established facilities, where Indigenous people have the right to handle coca leaves.

What is Power Leaves?

Power Leaves is a manufacturer and distributor of decocainized coca extract that is disrupting the $1 trillion dollar U.S. food & beverage market and the $200 billion global fertilizer market.

What is the price per share?

In this offering, the price per share is $0.45.

Is there a minimum and maximum investment amount?

The minimum individual investment is $4,999.95, which is equivalent to 11,111 units at a price of $0.45 per unit, where each unit is comprised of one common share and one half-warrant with an exercise price of $0.60.

There is no limit on how much an eligible investor can invest.

What methods of payment do you accept?

We accept payments using Credit Card, Bank Account (ACH), and Wire Transfer. There are no added fees charged to investors to complete an investment.

When does the offering close?

The offering is expected to be open approximately 60 days from the launch. However, Power Leaves reserves the right to close this offering at its sole discretion, including earlier or later than projected.
